RKLB · The $1.944 billion ATM is done. Iridium is still not closed.

On 15 September Rocket Lab said it finished a 29.3 million-share sale and cancelled the $3.6 billion bridge. Iridium’s $1.775 billion term loan was amended. Close remains a mid-2027 target, pending regulators. Q2 still printed $234 million.

Why this name is on the tape

Rocket Lab Corporation (NASDAQ: RKLB) already has a MarketNeon note on Electron flights, the $234 million quarter, and Neutron as a pad target. This one is the 15 September financing update on the pending Iridium Communications (NASDAQ: IRDM) deal. Cash raised is not the same as a closed acquisition, and it is not Neutron on the pad.

The tape often treats “fully funded” as “deal done.” Funded is the cash side of a merger that still needs regulators and a mid-2027 close. This article keeps those clocks apart. It is not a ranking of either stock and not a trade instruction.

What printed, and what was raised on 15 September

For the quarter ended 30 June 2026 Rocket Lab reported revenue of $234 million. That print has not changed. On 15 September 2026 the company said it had completed an at-the-market share sale, issuing 29.3 million shares for about $1.944 billion of gross proceeds before commissions and expenses. It said the net proceeds, plus other unrestricted cash, were enough to cover the cash consideration on Iridium, repay certain Iridium debt other than the remaining term loan, and pay related fees at close.

The same day Iridium amended its existing $1.775 billion term-loan facility — the balance as of 30 June 2026 — so a Rocket Lab close would not trip the change-of-control clause. Rocket Lab USA is set to guarantee that loan at close. With that amendment in hand, Rocket Lab terminated the $3.6 billion senior secured bridge facility it had lined up when the merger was announced in June. A cancelled bridge is not a closed merger.

Iridium is funded. It is not Rocket Lab’s book yet.

The June merger agreement still points at a mid-2027 close, subject to regulatory approvals and the other conditions in that contract. Iridium shareholders still have to approve the deal. A finished ATM and an amended term loan take the cash-funding question off the near-term tape. They do not transfer Iridium’s constellation, subscribers, or term loan onto Rocket Lab’s income statement today.

Iridium holders are also due Rocket Lab stock at close, on a collar the companies have already described. That second slice of dilution arrives only if the deal closes. The 29.3 million shares from the ATM are already out. Neutron remains a separate clock: pad delivery is still a fourth-quarter 2026 target, and as of the last Electron note the medium-lift had not flown.

What this does not tell you

A $1.944 billion ATM and a cancelled bridge are evidence that Rocket Lab raised the cash side of the Iridium bid and stepped off a $3.6 billion loan commitment. They are not proof that the merger closes in mid-2027, that regulators clear it, that Iridium’s $1.775 billion term loan stays in place after close, or that Neutron reaches the pad. The $234 million quarter is still the last print. Iridium’s own P&L is still Iridium’s.

On MarketNeon, RKLB is a ticker like any other: price, volume, crowd mentions, and headlines can run hot on “fully funded” while the constellation operator is still a target close and the live rocket is still Electron. This article is context for those prints. It does not rank the names, and it does not tell anyone to buy or sell.
